Terms of Service

Welcome to UnaFonte. These Terms of Service ("Terms") govern your access to and use of the UnaFonte platform, including our website, APIs, MCP integration, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Definitions

  • "Company," "we," "us," or "our" refers to Latent Ventures LLC, operating the UnaFonte platform.
  • "Service" refers to the UnaFonte platform, including the website at unafonte.com, all associated APIs, MCP integrations, and related tools and services.
  • "Creator" refers to any individual who registers an account on UnaFonte to establish a verified identity and manage their public source of truth.
  • "Verified Creator" refers to a Creator who has successfully completed identity verification through our third-party provider (Stripe Identity).
  • "User" refers to any person who accesses the Service, including Creators, fans, AI assistants, and API consumers.
  • "Identity Card" refers to a Creator's verified profile, which may include government ID verification, linked social accounts, verified domains, and verified wallets.
  • "Active Ledger" refers to the time-bounded list of a Creator's current activities, including giveaways, partnerships, promotions, and appearances.
  • "Trust Request" refers to the paid verification service where Users can request a Creator to confirm or deny the authenticity of specific content.
  • "MCP Integration" refers to the Model Context Protocol server that enables AI assistants to query and interact with the UnaFonte platform.
  • "Wallet Verification" refers to the process by which a Creator proves ownership of a cryptocurrency wallet address by signing a cryptographic message.
  • "Verified Wallet" refers to a cryptocurrency wallet address that has been verified through our wallet verification process and is publicly displayed on a Creator's Identity Card.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Identity Verification

To become a Verified Creator, you must complete our identity verification process, which is powered by Stripe Identity. By initiating verification, you:

  • Consent to the collection, processing, and storage of your government-issued identification documents and biometric data (including selfie photographs) by Stripe, Inc. in accordance with their privacy policy.
  • Represent and warrant that all identification documents and information you provide are authentic, unaltered, and belong to you.
  • Acknowledge that providing false, fraudulent, or misleading identification documents may result in immediate termination of your account and may be reported to appropriate authorities.

3.3 Wallet Verification

Creators may optionally verify ownership of cryptocurrency wallet addresses. By verifying a wallet, you:

  • Represent and warrant that you are the rightful owner or authorized controller of the wallet address being verified.
  • Acknowledge that verified wallet addresses will be publicly displayed on your Identity Card.
  • Understand that wallet verification involves signing a cryptographic message with your private key, and that this process does not grant UnaFonte any access to or control over your wallet or its contents.
  • Accept sole responsibility for the security of your wallet and private keys.
  • Acknowledge that UnaFonte does not provide any financial services, custody, or transaction facilitation related to verified wallets.

4. Use of the Service

4.1 Permitted Uses

You may use the Service to:

  • Verify your identity as a Creator.
  • Link and verify your social media accounts, domains, and cryptocurrency wallets.
  • Manage your Active Ledger of current activities.
  • Set NOT ME rules to help prevent impersonation.
  • Receive and respond to Trust Requests.
  • Query the Service via API or MCP integration to verify claims about Creators.
  • Access public Creator profiles and verification data.

4.2 Prohibited Uses

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • Submit false, misleading, or fraudulent information, including during the verification process.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems or networks connected to the Service.
  • Use automated means (bots, scrapers, crawlers) to access the Service except through our official API and MCP integration.
  • Interfere with or disrupt the Service or servers or networks connected to the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to harass, abuse, or harm another person.
  • Submit Trust Requests in bad faith or for the purpose of harassment.
  • Attempt to circumvent any rate limiting, security measures, or access controls implemented by the Service.

5. Wallet Verification Disclaimers

5.1 No Financial Services

UnaFonte is an identity verification and public source-of-truth platform. We do not provide, facilitate, or endorse any financial services, including but not limited to cryptocurrency trading, custody, exchange, lending, staking, or investment advisory services. Wallet verification is provided solely as a means of proving ownership of a blockchain address for identity purposes.

5.2 No Endorsement or Guarantee

The display of a Verified Wallet on a Creator's Identity Card does not constitute:

  • An endorsement or recommendation of any cryptocurrency, token, or blockchain project associated with the wallet.
  • A guarantee of the safety, legitimacy, or value of any assets held in the wallet.
  • Financial, investment, or legal advice of any kind.
  • A verification of the source of funds or the legality of transactions associated with the wallet.

5.3 User Responsibility

Users who interact with or send assets to a Verified Wallet do so entirely at their own risk. UnaFonte bears no responsibility for any loss, damage, or liability arising from transactions involving Verified Wallets. Always conduct your own due diligence before engaging in any cryptocurrency transactions.

6. Trust Requests

6.1 Pricing and Payment

Trust Requests are a paid service. The fee for each Trust Request is $3 per request, payable by the User submitting the request. Payment is processed through Stripe. By submitting a Trust Request, you authorize us to charge the applicable fee to your payment method. Fees are non-refundable except as required by applicable law or as described in these Terms.

6.2 Creator Obligations

Creators who enable Trust Requests agree to make reasonable efforts to respond to incoming requests within the timeframe associated with the selected pricing tier. Creators must respond honestly and in good faith. Deliberately providing false or misleading responses to Trust Requests may result in account suspension or termination.

6.3 No Guarantee of Response

While we encourage Creators to respond to all Trust Requests, we cannot guarantee that a Creator will respond to any particular request. If a Creator does not respond within the allotted timeframe, the request will expire and any payment authorization hold will be released. UnaFonte is not liable for any damages arising from a Creator's failure to respond to a Trust Request.

7. Active Ledger

The Active Ledger is a tool for Creators to publicly declare their current activities, including giveaways, partnerships, promotions, and appearances. Creators are solely responsible for the accuracy and timeliness of their ledger entries. UnaFonte does not independently verify the content of ledger entries and makes no representations or warranties regarding their accuracy. Ledger entries are time-bounded and will automatically expire based on the dates set by the Creator.

8. API and MCP Integration

8.1 API Access

We provide public API endpoints and an MCP server integration that allows AI assistants and other applications to query verification data programmatically. Authenticated API access requires an API key, which Creators can generate from their dashboard.

8.2 API Terms

By using our API or MCP integration, you agree to:

  • Comply with all applicable rate limits and usage restrictions.
  • Keep your API keys confidential and not share them with unauthorized parties.
  • Not use the API to build a competing service or to scrape data in bulk.
  • Accept that API access may be modified, rate-limited, or revoked at our discretion.

9. Intellectual Property

9.1 Our Property

The Service, including its design, features, content, and underlying technology, is owned by Latent Ventures LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

9.2 Your Content

You retain ownership of any content you submit to the Service, including ledger entries, NOT ME rules, and Trust Request responses. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such content in connection with providing and promoting the Service.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

IDENTITY VERIFICATION THROUGH UNAFONTE CONFIRMS THAT A PERSON HAS PRESENTED VALID GOVERNMENT IDENTIFICATION. IT DOES NOT CONSTITUTE A BACKGROUND CHECK, CHARACTER REFERENCE, OR ENDORSEMENT OF ANY INDIVIDUAL. WALLET VERIFICATION CONFIRMS OWNERSHIP OF A BLOCKCHAIN ADDRESS AND DOES NOT CONSTITUTE FINANCIAL ADVICE, AN ENDORSEMENT OF ANY CRYPTOCURRENCY, OR A GUARANTEE OF THE SAFETY OR LEGITIMACY OF ANY ASSETS OR TRANSACTIONS. WE ARE NOT RESPONSIBLE FOR ANY DECISIONS MADE BASED ON VERIFICATION STATUS, WALLET VERIFICATION STATUS, OR LEDGER ENTRIES DISPLAYED ON THE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LATENT VENTURES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (E) ANY TRANSACTIONS INVOLVING VERIFIED WALLETS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Latent Ventures LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, your violation of any rights of another party, any content you submit to the Service, or any misrepresentation regarding wallet ownership or identity information.

13. Termination

We may terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the Service will immediately cease.
  • Your public profile and all associated data, including verified wallet information, may be removed.
  • Any pending Trust Requests will be expired and payment holds released.
  • Your API keys will be revoked.
  • Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution.

14. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the United States, and the language of the arbitration shall be English. The arbitrator's decision shall be final and binding. You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action.

15. General Provisions

  • Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
  • Entire Agreement. These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Latent Ventures LLC regarding the Service.
  • Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Effective Date" at the top. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
